This Affiliate Program Agreement (the “Agreement”) is entered into by and between Virtuous Restaurants Ltd (“Company”, “we”, “us”, or “our”) and the individual or entity (“Affiliate”, “you”, or “your”) who wishes to participate in the Affiliate Program (the “Program”).
By participating in the Program, you agree to comply with all terms and conditions set forth in this Agreement.
No Guarantee of Results:

As an approved Affiliate, your role is to introduce Virtuous Restaurants Ltd and its product suite to restaurant owners who may benefit from our services. Your responsibility is to engage in consultative conversations, assess whether our offerings align with the needs of the restaurant, and then refer them to us. Once referred, Virtuous Restaurants Ltd will manage the entire process from there, including onboarding, personalised software design, deployment, and continuous ongoing support.
Your efforts in connecting us with the right restaurant owners will have a significant impact on their brand value with our premium services. We trust that the quality of our services will consistently demonstrate their value, delivering lasting satisfaction and measurable results for restaurants of all sizes.
As a gesture of appreciation for joining us as a valued Affiliate, we’re waiving the standard £350 setup fee normally charged to clients we acquire directly. This means you can refer restaurants to our high-impact services with zero upfront costs — making it easier, friendlier, and far more accessible for everyone involved. We believe that generosity fuels growth, so in recognition of your time, effort, and goodwill, we may also offer additional exclusive discounts to support you. Together, we’re building a referral network rooted in trust, kindness, and shared success. The standard setup cost covering essential materials such as a printer, tablet, and marketing collateral is fully waived for approved Affiliates who enroll through our Affiliate page.
By participating in the Program, you agree to the following responsibilities:
Referrals Only: Your core responsibility is to identify restaurant owners who would genuinely benefit from our product suite and refer only those who align with our service values and qualification standards. You play a vital role in helping us connect with the right restaurant owners. By thoughtfully identifying and referring those who will truly benefit from our product suite, you’ll be rewarded through our structured three-tier commission plan — a reflection of the value we place on your contribution.
Use of Approved Materials: You’ll be equipped with dedicated affiliate presentation materials and tailored website content to support your referrals and ensure clear, professional communication every step of the way provided by Virtuous Restaurants Ltd. These materials should be used to introduce our services in an ethical and value-driven manner, ensuring that potential clients fully understand what we offer.
Consultative Engagement: Your role is to engage with restaurant managers and owners, assess their needs, and refer those who align with our services. You are not responsible for handling any aspects of service delivery. After the referral, we take full responsibility for the next steps.
Honest, Clear, and Professional Communication: All communications must be honest and clear, focusing on the value our product suite brings to restaurant owners. Affiliates should refrain from making deceptive claims, misrepresentations, or promises that we cannot fulfill.
No Deceptive Practices: Affiliates must not engage in any form of deceptive, spam-like or unethical marketing tactics. This includes misleading advertising or any activity that may harm the reputation of Virtuous Restaurants Ltd.
Clear Referral Process: Your only responsibility is to refer qualified restaurant owners to Virtuous Restaurants Ltd. We will handle the rest — including onboarding, design, building, delivery, and ongoing support. Our affiliate program is designed so you can focus on making the right introductions, while we handle the ongoing relationship and service delivery with care and professionalism.
Commission Structure: You will earn commissions based on the successful referrals you make. The commission structure will be outlined in your Affiliate Dashboard.
Payment Terms: Commission payouts will be issued monthly via Stripe. Please note that all payments are subject to any applicable processing fees imposed by the payment provider.
Refunds and Chargebacks: In the event of a customer requesting a refund or initiating a chargeback, the corresponding commission will be deducted from your account.
No Guarantee of Results: While we offer a good earning opportunity, Virtuous Restaurants Ltd does not guarantee income, commissions, or outcomes. Your success in the Program will depend on your ability, dedication, efforts and communicative strength to engage the right restaurant owners who are fit for our product suite and refer them to us effectively via the enquiry form process with your Affiliate ID included in the form. Your Affiliate ID is essential for us to process your inquiry effectively and ensure proper tracking of your affiliation with the Virtuous Restaurants Ltd Affiliate Program.
Review of Sales Copy: You confirm that you have reviewed all available content on our website before initiating the acceptance of this agreement. You acknowledge that the sales copy reflects our potential outcomes for restaurant businesses, but individual results may vary.
Full Responsibility for Referral Success: You acknowledge that Virtuous Restaurants Ltd will manage all aspects of the referral once a restaurant has been introduced, referred, or connected with us. You are not responsible for closing the sale, providing any support or any other aspect of service delivery after the referral is made. Your success in the Program will be contingent upon your ability to effectively identify and refer qualified restaurants in need of our product suite.
You explicitly agree not to:
Engage in Deceptive Marketing: lThis includes making false statements or misrepresenting the benefits, value, or attributes of our brand and services.
Use Spam or Aggressive Tactics: You must not use unsolicited emails, excessive promotional messaging, or other bulk marketing methods to promote our company and its services.
Misrepresent Our Services: You must not make promises that we cannot fulfill. Affiliates should focus on referring qualified leads through a consultative and value-driven approach.
Use Paid Advertising without Approval: You are prohibited from using paid advertising, social media promotions, or any other paid media without prior written approval from Virtuous Restaurants Ltd.
Harm Our Reputation: Any activities that could damage the reputation of Virtuous Restaurants Ltd or mislead potential clients are strictly prohibited.
We reserve the right to terminate your affiliation if:
We receive evidence or feedback of misrepresentation or unethical marketing practices.
In such cases:
You will cease using all Virtuous Restaurants Ltd resources, including presentation materials and content.
Any outstanding commissions will be paid in accordance with the terms of this Agreement.
You will remove all references to Virtuous Restaurants Ltd from your association.
You agree to indemnify and hold Virtuous Restaurants Ltd harmless from any and all claims, losses, damages, liabilities, or expenses (including legal fees) arising from your participation in the Program or any breach of this Agreement.
Virtuous Restaurants Ltd will not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits, arising from or in connection with this Agreement or the Program, regardless of whether we were advised of the potential for such damages.
Virtuous Restaurants Ltd reserves the right to modify, suspend, or discontinue the Affiliate Program at any time. We may also update or modify the terms of this Agreement. You will be notified of any significant changes, and continued participation in the Program after such changes indicates your acceptance of the updated terms.
